Factors Affecting Characteristics of Board of Directors in Egyptian Family Business Corporations

This study attempts to explain the characteristics of boards of directors (BOD) in Egyptian Family- owned Corporations. The paper begins with a review of the various aspects related to the concept of BOD, namely: the separation of Management and Control, and Corporate Governance and Agency Theory as developed and adopted in the literature to date. A sample of 88 companies was selected from the Egyptian private sector. Eight hypotheses were formed, and a questionnaire was used in data collection pertaining to the variables of the study. Multivariate analysis techniques were used in data analysis. Research results indicated that the generational variables were the most influential to the development of BOD in Egyptian family Business Corporations, while the organizational variables were insignificant. A discussion of the results and their implications is presented along with suggestions for further research.
